Terms and Conditions
These terms apply to ExpandoWorks quotations, orders, products, software, services, hosting, support, implementation, and related commercial engagements.
Quotation, Validity, And Acceptance
ExpandoWorks (Pty) Ltd may issue a written quotation, proposal, or commercial schedule following discussions with a client or partner. Unless a different period is stated in writing, each quotation remains open for acceptance for 30 calendar days from its date of issue.
A quote may be accepted by signed acceptance, written email approval, an official purchase order, an approved electronic workflow, or any instruction by the client to commence procurement, delivery, configuration, implementation, or other work described in the quote.
Once accepted, the quote must be read together with any agreed scope of work, service level agreement, implementation plan, order confirmation, invoice, or other written commercial document expressly incorporated into the engagement.
No work is required to commence until ExpandoWorks confirms acceptance of the instruction, required commercial approvals are in place, and any agreed deposit or onboarding prerequisite has been satisfied.
Pricing, Taxes, Deposits, And Payment
Unless the document expressly states otherwise, all prices are stated exclusive of VAT and exclusive of any import duties, withholding taxes, statutory levies, foreign bank charges, or similar third-party costs. Those amounts remain for the client's account where applicable.
A minimum deposit of 50% is required for hardware procurement unless ExpandoWorks agrees otherwise in writing. Title to hardware remains with ExpandoWorks until the relevant invoice has been paid in full and cleared funds have been received.
Payment for non-hardware deliverables is due within 30 days from invoice date unless the quote, order, or invoice states a different term.
ExpandoWorks may charge interest on overdue amounts at the South African prime lending rate plus 2.5 percentage points per annum, calculated from the due date until payment in full, subject to applicable law.
ExpandoWorks may suspend services, software access, platform access, support, licensing, hosting, or further deliveries where any amount due remains unpaid after written demand, without waiving any other remedy available in law or contract.
Scope, Assumptions, And Change Control
This commercial document is based on the information made available to ExpandoWorks at the time of drafting. If the technical environment, site conditions, client requirements, volumes, third-party dependencies, regulatory requirements, or implementation assumptions change, ExpandoWorks may revise the commercial position in writing.
Only the deliverables expressly described in the accepted quote, order, invoice, and any incorporated scope of work are included. Anything not expressly included is excluded and, if required, will be quoted separately.
Any request for additional functionality, integration work, dashboard changes, data model changes, reporting changes, retraining, reconfiguration, site re-attendance, or out-of-scope engineering work must be submitted in writing and approved through formal change control before that work starts.
Illustrations, forecasts, savings estimates, coverage assumptions, capacity assumptions, and performance expectations are indicative only and depend on client infrastructure, site conditions, third-party systems, and correct operation in the live environment.
Hosting, Licensing, And Recurring Charges
Software licensing, cloud hosting, SIM charges, platform subscriptions, managed services, data services, support retainers, and maintenance charges continue for the agreed contractual term and are billed monthly, annually, or at the interval stated in the quote, order, invoice, or contract.
Where hosting or third-party platform costs are based on supplier pricing, usage, data volume, storage, bandwidth, compute, or configuration, ExpandoWorks may adjust those charges on written notice if the underlying supplier cost or client usage profile changes materially.
Recurring fees may be increased annually by reference to the South African Consumer Price Index or by the agreed contractual adjustment mechanism, on reasonable prior written notice.
Travel, Site Work, And Delays
Unless expressly included, travel outside Gauteng is billed at actual cost. Vehicle travel is billed at the agreed rate per kilometre, excluding tolls. Flights, accommodation, car hire, parking, subsistence, and related travel costs are for the client's account unless expressly included in the commercial document.
The client must provide safe and lawful site access, access windows, permits, escorts where required, reliable power, and all other reasonable site prerequisites needed for efficient delivery.
Client-side delays, including delayed approvals, unavailable infrastructure, failure to provide access, or late information, may result in implementation rescheduling, standby charges, re-mobilisation charges, or repricing where supplier component pricing has changed.
Client Installation, Connectivity, And Warranty Limitations
If the client or any third party elects to install, mount, wire, commission, configure, relocate, reconnect, open, repackage, transport, or otherwise handle any hardware or unit without ExpandoWorks performing or supervising that work, the client assumes responsibility for installation quality, wiring integrity, mounting integrity, antenna placement, power quality, network configuration, SIM provisioning, APN setup, firewall rules, RF conditions, and all other site-specific connectivity requirements.
ExpandoWorks is not responsible for client-side connectivity failures, data transport issues, network restrictions, firewall restrictions, APN restrictions, carrier coverage limitations, antenna alignment issues, RF interference, unmanaged power conditions, or any environment-specific issue where installation was not performed or supervised by ExpandoWorks.
ExpandoWorks (Pty) Ltd offers a 12 month carry-in repair or replacement warranty on its products, commencing from the date of delivery. This express warranty is strictly limited to proven manufacturing defects in materials or workmanship under normal intended use and service, and applies only where the relevant unit has been installed, commissioned, operated, stored, and maintained in accordance with ExpandoWorks documentation, ratings, and handling instructions.
To the maximum extent permitted by law, this express warranty does not cover, and a warranty claim may be refused where a fault, failure, or damage is caused or potentially contributed to by faulty, incorrect, or unauthorized installation; transport or handling by a third party; connectivity or carrier issues; configuration errors; interference; incorrect power supply usage; voltage surges; lightning; battery or power-module mishandling; electrostatic discharge, water, or dust ingress; corrosion; overheating; impact; vibration; vandalism; accidental damage; misuse; negligence; environmental exposure outside specification; or failure to keep enclosures sealed and protected.
This exclusion also applies to issues arising from client-side firmware changes, third-party software integrations, or cloud system misconfigurations.
Any attempt to repair, disassemble, modify, rework, reflash, tamper with, or otherwise alter the product, whether hardware or firmware, by any party other than ExpandoWorks may void or materially limit any express warranty to the extent that the failure may have arisen from that intervention. The same applies where routine field maintenance, cleaning, battery replacement, firmware updates, connector securing, inspection, or monitoring was required but not performed or authorised.
Visible mechanical damage, detached components, cracked solder joints, PCB damage, or similar failures discovered after delivery will not, without supporting technical evidence, be presumed to be manufacturing defects because those conditions may also result from transport shock, improper mounting, impact loading, or sustained high vibration in the deployment environment.
ExpandoWorks does not warrant that its products meet every regulatory, certification, carrier, or region-specific requirement for the client's intended use. Standard certifications already held by ExpandoWorks are available on request. Any additional certifications, approvals, or localisation requirements will be for the client's account.
To the maximum extent permitted by law, ExpandoWorks is not responsible for downtime, data loss, loss of connectivity, removal and reinstallation labour, field call-out costs, third-party charges, or consequential losses arising from a product issue, except to the extent that a mandatory law expressly requires otherwise.
Nothing in these terms excludes rights that cannot lawfully be excluded. Where the Consumer Protection Act or any other mandatory law applies, those statutory rights continue only to the extent required by law.
Data Integrity, Access Control, And Intellectual Property
The client may not alter, falsify, suppress, manipulate, or misrepresent data generated, transmitted, processed, or displayed by ExpandoWorks systems. Any unauthorised interference with solution data may be treated as a material breach and, where appropriate, as a security or safety incident.
The client is responsible for managing its own user access, password handling, endpoint hygiene, and compliance with internal IT policies. ExpandoWorks is not liable for compromise caused by client-side credential sharing, insecure environments, or unauthorised third-party access under the client's control.
Unless the parties agree otherwise in writing, all intellectual property in ExpandoWorks software, firmware, documentation, dashboards, hardware designs, configurations, and related materials remains the property of ExpandoWorks (Pty) Ltd. The client may not reproduce, sublicense, distribute, or reverse engineer those materials except as permitted in writing.
Liability, Acceptance, And General
To the maximum extent permitted by law, ExpandoWorks is not liable for indirect, incidental, special, punitive, or consequential loss, including loss of profit, loss of revenue, loss of production, loss of opportunity, loss of goodwill, loss of data, or business interruption.
To the maximum extent permitted by law, ExpandoWorks' aggregate liability arising from or in connection with the relevant quote, order, invoice, project, goods, or services will not exceed the total amount actually paid to ExpandoWorks under the applicable commercial document, except where liability cannot lawfully be excluded or limited.
Unless a different acceptance procedure is expressly agreed in writing, hardware is deemed accepted on delivery, software access is deemed accepted when credentials or access are provided, and services are deemed accepted on written notice of completion unless the client gives written notice of a specific material defect within 7 calendar days.
ExpandoWorks is not liable for delay or non-performance caused by events beyond its reasonable control, including supply chain disruption, labour action, carrier outage, cloud-provider outage, civil unrest, regulatory action, or force majeure events.
